Terms of delivery

Acnova Oy Effective as of: 11.02.2026


1. General Provisions

These Delivery Terms regulate the procedure for production, payment, delivery, storage and transfer of products manufactured and/or supplied by Acnova Oy (hereinafter referred to as the “Supplier”).

The Terms apply to:

  • contract manufacturing (Private Label);
  • production of cosmetic products;
  • production of nonwoven material products for various purposes;
  • supply of finished products under the Acnova brand;
  • supply and resale of products manufactured by third parties (distribution activity);
  • wholesale deliveries within the EU and outside the EU.

Placement of an order constitutes full acceptance by the Customer of these Terms.


2. Forms of Cooperation

2.1. Private Label — Cosmetic Products

Manufacturing of products under the Customer’s trademark may include:

  • development or adaptation of the formula;
  • selection and testing of components;
  • production of a batch;
  • filling and packaging;
  • development and printing of packaging materials;
  • preparation of documentation (where applicable: PIF, CPSR, CPNP and other EU regulatory documents);
  • support in certification of new products.

Timelines and volumes depend on agreement between the parties and applicable legal requirements.

2.2. Private Label — Nonwoven Material Products

Manufacturing of nonwoven material products for various purposes under the Customer’s trademark.

May include:

  • selection of density (GSM), composition and structure of the material;
  • individual dimensions and form factor;
  • perforation, folding, roll formats;
  • individual packaging;
  • box printing and branding.

Production is fully dependent on the minimum order quantity of raw materials and their availability.

2.3. Supply of Finished Products under the Acnova Brand

Supply of products from the Supplier’s warehouse.

2.4. Supply of Third-Party Products

Acnova Oy also supplies and resells products manufactured by third parties.

In such cases, Acnova Oy acts as a seller/distributor.

The following specific conditions apply to such products:

  • technical characteristics are determined by the manufacturer;
  • warranty obligations are limited to the scope of warranties provided by the manufacturer;
  • Acnova Oy bears no liability for hidden manufacturing defects caused by the manufacturer;
  • the liability of Acnova Oy is limited to the value of the respective supply.

The Customer is obliged to independently verify that the products meet its intended purposes and the legal requirements of the country of sale.


3. Minimum Order Quantities (MOQ)

Minimum order quantities depend on the form of cooperation and product category.

3.1. Private Label (Cosmetics and Nonwoven Products)

For products manufactured under the Customer’s trademark, the minimum quantity is determined primarily by:

  • the minimum purchase volume of raw materials;
  • the minimum purchase volume of components and packaging;
  • the minimum production batch;
  • requirements of raw material suppliers;
  • the necessity of certification or testing.

The MOQ is determined individually for each project and specified in the commercial offer.

3.2. Own Production Products (without Private Label)

If the Customer purchases products manufactured by Acnova Oy under its own brand, the minimum quantity may be agreed individually.

Depending on production workload and availability of raw materials, small batches may be possible. The minimum quantity is determined by agreement of the parties.

3.3. Products in Stock

Products available in the Acnova Oy warehouse may be shipped starting from 1 unit of goods.

Minimum quantity restrictions do not apply in this case unless otherwise specified in the commercial offer.

3.4. Custom Positions (Not Private Label)

For custom positions that do not fall under Private Label, the minimum quantity is determined by:

  • the terms of the raw material supplier;
  • the minimum production batch;
  • logistical parameters.

The minimum quantity is determined individually and confirmed in writing.

In all cases, Acnova Oy reserves the right to refuse production or supply if the order quantity is economically unjustified.


4. Payment Terms

Payment terms are agreed individually and may be changed depending on the history of cooperation, order volume and market situation.

Possible options:

  • For new customers — 100% prepayment.
  • For customers with confirmed business history — 50% prepayment and 50% prior to shipment.
  • For regular partners with a signed agreement — payment deferral up to 14 calendar days.

Acnova Oy reserves the right to modify payment terms depending on:

  • market conditions;
  • changes in raw material costs;
  • financial risks;
  • order volume.

Production commences only after fulfillment of the agreed financial obligations.


5. Production and Delivery Timeframes

Timeframes depend on availability of raw materials, components, packaging and agreement between the parties.

5.1. Finished Products under the Acnova Brand (from Stock)

Shipment period: from 1 business day to 2 weeks.

5.2. Custom Positions — Nonwoven Products

Timeframe: from 1 week to 5 weeks depending on availability of raw materials or their delivery time.

5.3. Custom Cosmetic Products

Timeframe: from 1 week to 6 weeks depending on availability of components and packaging.

5.4. Private Label — Nonwoven Products

Timeframe: from 1 month to 6 months.

The timeframe depends on:

  • volume of raw materials;
  • individual packaging;
  • approval of layouts;
  • logistics;
  • production workload.

5.5. Private Label — Cosmetic Products

Timeframe: from 1 month to 12 months.

Includes the following stages:

  • development or adaptation of the formula;
  • testing;
  • approval;
  • certification of new products.

An individual production schedule may be agreed upon by additional arrangement.


6. Delivery Terms (Incoterms)

By default, delivery is carried out on EXW terms — Acnova Oy warehouse, Tuusula (Finland).

Other terms (FCA, FOB, CIF, DAP, etc.) are possible by prior agreement.

The applicable terms are specified in the invoice or agreement.


7. Tolerance in Weight and Quantity

Due to permissible production deviations of raw materials (particularly nonwoven materials), as well as technical tolerances of filling equipment, a production deviation in weight or quantity within ±5% is allowed.

Such tolerance is considered an industry norm and does not constitute grounds for a claim.


8. Storage of Finished Products

After notification of product readiness, the Customer is obliged to arrange collection within the agreed period.

Free storage is possible for 7 calendar days (unless otherwise agreed).

After expiration of this period, storage fees may be charged.

Acnova Oy bears no liability for changes in product properties if the agreed storage period is exceeded.


9. Quality Control

9.1. Own Production Products

Each batch undergoes:

  • incoming raw material control;
  • production control;
  • finished product control.

Own production products comply with applicable EU legislation.

9.2. Third-Party Products

Quality control is limited to visual inspection and verification of completeness.

Acnova Oy does not carry out re-certification of third-party products unless expressly agreed otherwise.

Responsibility for compliance with technical and regulatory requirements lies with the original manufacturer.


10. Claims

Claims are accepted within 7 calendar days from the date of receipt of the goods.

A claim must include:

  • batch number;
  • description of the defect;
  • photo and/or video evidence.

Failure to comply with the procedure may result in rejection of the claim.


11. Limitation of Liability

Acnova Oy shall not be liable for:

  • improper storage of products by the Customer;
  • violation of transportation conditions after transfer of goods;
  • unauthorized modification of the formula;
  • use of the products not in accordance with their intended purpose;
  • failure to meet the expectations of the end consumer;
  • actions or omissions of the manufacturer in the supply of third-party products.

The maximum aggregate liability of Acnova Oy for any claim shall be limited to the value of the respective batch of products or supply.

Acnova Oy shall not be liable for:

  • loss of profit;
  • indirect damages;
  • loss of market;
  • penalties imposed by third parties;
  • recourse claims of the Customer’s counterparties.

12. Force Majeure

The parties shall be released from liability in the event of force majeure circumstances, including but not limited to:

  • interruptions in raw material supplies;
  • logistical restrictions;
  • actions of public authorities;
  • extraordinary situations.

The term for performance of obligations shall be extended for the duration of such circumstances.


13. Final Provisions

All individual conditions are specified in the commercial offer, invoice or separate agreement.

In the event of discrepancies, the agreement signed by the parties shall prevail.
